FOODHERO REFERRAL PROGRAM TERMS

These Referral Program Terms ("Terms") are a binding legal agreement between you (the "Referral Partner") and Foodhero, governing your participation in the referral program (the "Program"). By participating, you agree to these Terms.
1. PURPOSE
The Referral Partner agrees to promote the Foodhero platform to third parties in Estonia, Latvia, and Lithuania, including restaurants, bakeries, cafes, hotels, and supermarkets interested in reducing food waste. The Referral Partner will use the "Refer a Store" feature in their Foodhero account to refer businesses.
2. ELIGIBLE STORES
Referral Partners may earn a referral fee for referring Eligible Stores. A store is eligible if it meets all of the following criteria:
- It is not part of a corporate group with more than 20 stores.
- It is not affiliated with the Referral Partner.
- It has not been previously referred by another partner.
- It is located in Estonia, Latvia, or Lithuania.
- It has not previously used the Foodhero platform.
- It has not been contacted by Foodhero before the referral.
Foodhero has sole discretion in determining whether a store qualifies as an Eligible Store.
3. REFERRAL FEE
Referral Partners will earn a one-time 50€ fee for each Eligible Store that:
- Joins the Foodhero platform.
- Sells at least 25 Surprise Bags within the first 90 days.
Foodhero will also provide a separate incentive to the Eligible Store.
4. PAYMENT TERMS
- Payments will be made 90 days after the first sale if the store has reached the 25 Surprise Bag sales threshold.
- Payments will be processed through the banking information provided in the Referral Partner’s account.
- Invoices will be generated by Foodhero. Referral Partners have 14 days to dispute an invoice, after which it is considered approved.
5. DATA PROTECTION & LEGAL COMPLIANCE
Referral Partners must comply with data protection laws (including GDPR) and ensure that Prospective Stores consent to being contacted by Foodhero.
6. INTELLECTUAL PROPERTY
Foodhero grants Referral Partners a non-exclusive license to use Foodhero branding for promotional purposes. Any misuse or actions that harm Foodhero’s reputation will result in immediate removal from the Program.
7. CONFIDENTIALITY
Both parties must keep all confidential information regarding the Program strictly confidential.
8. LIABILITY & INDEMNIFICATION
Referral Partners are fully liable for any violations of the law or these Terms. Foodhero’s liability is limited to the total amount paid to the Referral Partner in the last 3 months.
9. TERMINATION
Foodhero reserves the right to modify, suspend, or terminate the Program at any time. Any misuse of the Program will result in disqualification.
10. GOVERNING LAW
These Terms are governed by the laws of Estonia, Latvia, and Lithuania, and any disputes will be settled in the respective jurisdictions.

Note: The referral fee is only paid if the referred store sells 25 Surprise Bags within the first 90 days.
